Terms of Service

These Terms of Service ("Terms") govern your access to and use of Unicourse®, including https://unicourse.io, https://portal.unicourse.io, and related pages, apps, and services that link to these Terms (together, the "Service").

The Service is operated by X Enterprises, LLC, a Washington limited liability company ("X Enterprises," "we," "us," or "our"). Unicourse is a DBA of X Enterprises, LLC, 18122 3rd Dr SE, Bothell, WA 98012.

Unicourse is a software-as-a-service learning platform for creating, managing, and delivering professional training and courses. These Terms are Product Terms of Service. They are not Site Terms of Use for a marketing-only brochure site.

Please read these Terms carefully. They include a disclaimer of warranties, a limitation of liability, and, in the Dispute Resolution section, a binding arbitration provision and a class-action waiver that affect your legal rights. By accessing or using the Service, creating an account, starting a trial, or clicking to accept these Terms, you agree to these Terms.

Acceptance

By accessing or using the Service, you agree to these Terms and to our Privacy Policy (/privacy/) and Cookie Policy (/cookies/), which are incorporated by reference. If you do not agree, do not use the Service.

If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes that organization.

Eligibility; business use

The Service is intended for users who are at least 18 years old and for organizational training use. It is not directed to children. We do not knowingly permit anyone under 18 to create an account. By using the Service, you represent that you are at least 18.

You are responsible for ensuring your use of the Service complies with your organization's policies and with applicable law, including laws that apply to employee, customer, or learner training records.

Accounts and registration

Parts of the Service require an account. Account create and sign-in flows are offered through the Unicourse marketing site (including /signup/) and the portal host at https://portal.unicourse.io (including /auth/signup and /auth/login).

You must provide accurate registration information and keep it updated. You are responsible for your credentials and for activity under your account. Notify us promptly if you believe your account has been compromised. We may refuse, suspend, or terminate accounts as described in these Terms.

Administrators who invite learners or teammates are responsible for the invitations they send and for the learner and teammate data they upload or collect through the Service.

Subscriptions, pricing, trial, and payment

Current plan descriptions and prices are published on https://unicourse.io/pricing/. As of the date above, the marketing page lists Starter and Professional monthly prices, an Enterprise custom plan, a claimed yearly discount, and a claimed 14-day free trial. Prices, limits, features, and trial terms may change. The pricing page and any order or checkout flow you complete control the commercial details of your plan.

If you start a paid subscription or a trial that converts to paid, you agree to pay the fees described at purchase and any applicable taxes. Unless a checkout flow says otherwise, fees are non-refundable except where required by law or where we expressly agree in writing.

We may use third-party payment processors to handle cards and invoices. Their terms apply to the payment step. We do not publish a named payment processor on the unicourse.io marketing HTML fetched for this policy date. When a processor is shown at checkout, that processor's name and notices control the payment step.

Failure to pay may result in suspension or termination of paid features.

What the Service is

Unicourse is marketed as an enterprise learning platform. Published marketing describes course management (including video, quizzes, and related training content), analytics and reporting, white-label branding, team management, certificates and badges on some plans, API access on some plans, and related training features. Feature availability depends on your plan and on what is actually enabled for your account.

The portal host is part of the Service. A thin portal shell may load before account UI appears. Marketing claims on https://unicourse.io do not guarantee that every listed feature is enabled for every account on every day.

We may add, change, suspend, or discontinue any part of the Service at any time. We will try to avoid unreasonable disruption to paid customers, but we do not guarantee uninterrupted availability.

License and access

Subject to these Terms and your plan, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal training and education purposes. We do not sell you the underlying software. No rights are granted except as expressly stated.

You may not resell, rent, or provide the Service as a standalone service bureau to third parties except as a white-label or multi-tenant feature we expressly enable for your plan.

Your content and learner data

You retain ownership of content you upload or create in the Service ("Customer Content"), including courses, materials, and learner records you submit.

You grant us a worldwide, non-exclusive license to host, process, transmit, display, and otherwise use Customer Content only as needed to provide, secure, maintain, and improve the Service, to prevent abuse, and to comply with law.

You represent that you have all rights and consents needed to upload Customer Content and to use the Service with your learners and teammates, including workplace and education privacy consents where required.

We do not claim ownership of your course materials or learner lists. We do not use Customer Content to build a public claim that your confidential training materials are ours.

Feedback

If you send ideas or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction. You are not owed compensation for feedback.

Acceptable use

You agree that you will not, and will not attempt to:

  • use the Service for any unlawful, fraudulent, or harmful purpose, or in violation of these Terms;
  • upload unlawful, defamatory, harassing, infringing, or otherwise wrongful content;
  • interfere with, disrupt, or impose an unreasonable load on the Service or its infrastructure;
  • probe, scan, or test the vulnerability of the Service except with our prior written consent;
  • attempt to gain unauthorized access to any account, system, or data;
  • copy, scrape, harvest, or reverse engineer the Service except to the limited extent allowed by law that cannot be waived;
  • use the Service to send spam or unlawful communications;
  • remove or alter proprietary notices; or
  • use the Service in a way that harms minors or collects personal information from children under 18.

We may remove content, suspend access, or terminate accounts for violations, risk, non-payment, or to protect the Service and others.

AI features

The Unicourse marketing pages fetched for this policy date do not advertise artificial-intelligence generation features as part of the product story. If we later enable AI-assisted features inside the Service, those features will process prompts and outputs as Customer Content under these Terms and the Privacy Policy, and we may publish additional notices in the product UI. Do not assume AI features exist on Unicourse until they are actually offered to your account.

Availability and support

We aim to keep the Service available, but we do not guarantee uninterrupted or error-free operation. Scheduled maintenance, emergencies, and third-party outages may occur.

Support channels published on https://unicourse.io/support/ may include a contact form and FAQ. Marketing copy on that page has claimed a reply within 24 hours. That claim is not a service-level warranty. Enterprise onboarding or dedicated support, if offered, will be described in your plan or order terms.

This Service does not publish a public email inbox on unicourse.io. Postal contact is available as described below.

Third-party services

The Service may link to or integrate with third-party sites and tools. We do not control third-party services. Your use of them is subject to their terms. API access and integrations, where enabled for your plan, are provided as-is unless an order says otherwise.

Suspension and termination

You may stop using the Service at any time. You may request account closure through the support channels we publish or by mail to the address below.

We may suspend or terminate access immediately if you breach these Terms, if required by law, if you fail to pay, or if continued use creates risk. We may also discontinue the Service with reasonable notice where practical.

After termination, your right to access the Service ends. We may delete Customer Content after a commercially reasonable period, subject to legal holds and backups. Export any data you need before you close your account.

Intellectual property

Except for Customer Content and third-party materials, the Service, including software, design, text, and branding, is owned by or licensed to X Enterprises and protected by intellectual property laws.

"Unicourse," "Unicourse®," "X Enterprises," and related logos and brand features are our trademarks or DBA marks. Unicourse® is a registered trademark of X Enterprises, LLC. Other names and marks are the property of their respective owners. Use of a third-party name does not imply affiliation or endorsement except where we expressly say so.

Copyright complaints

If you believe content on the Service infringes your copyright, send a notice with the information required under 17 U.S.C. section 512(c)(3) by mail to X Enterprises, LLC, 18122 3rd Dr SE, Bothell, WA 98012. X Enterprises, LLC designated agent is registered with the U.S. Copyright Office (Registration No. DMCA-1077248). We may remove material claimed to be infringing and may stop repeat infringers from using the Service.

Disclaimer of warranties

THE SERVICE AND ALL CONTENT, MATERIALS, AND FEATURES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT ANY CONTENT OR ANALYTICS ARE ACCURATE OR COMPLETE, OR THAT THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. TRAINING OUTCOMES ARE YOUR RESPONSIBILITY. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL X ENTERPRISES OR ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF (OR INABILITY TO USE) THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

NOTHING IN THESE TERMS EXCLUDES OR LIMITS ANY LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

Indemnification

To the maximum extent permitted by applicable law, you agree to indemnify, defend, and hold harmless X Enterprises and its members, managers, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys fees) arising out of or relating to your use of the Service, Customer Content, your learners or teammates, your violation of these Terms, or your violation of any rights of a third party.

Dispute Resolution; Binding Arbitration; Class-Action Waiver

Please read this section carefully. It affects your legal rights.

Informal resolution first. Before starting any arbitration or proceeding, you agree to first write to X Enterprises, LLC, 18122 3rd Dr SE, Bothell, WA 98012 and attempt in good faith to resolve the dispute informally for at least 30 days.

Binding arbitration. Except as set out below, any dispute, claim, or controversy arising out of or relating to the Service or these Terms will be resolved by final and binding arbitration administered by the American Arbitration Association (AAA) under its applicable rules, rather than in court, and will be seated in the State of Washington (or conducted remotely, as the rules permit).

Class-action waiver. To the maximum extent permitted by applicable law, you and we agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding.

Carve-outs. Either party may bring an individual claim in small-claims court, and either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect its intellectual property or confidential information.

Opt-out. You may opt out of this arbitration and class-action waiver provision by sending written notice to X Enterprises, LLC, 18122 3rd Dr SE, Bothell, WA 98012 within 30 days of first accepting these Terms, stating your name and your intent to opt out. Opting out will not affect any other provision of these Terms.

If this Dispute Resolution section is found unenforceable in whole or in part, the remainder will apply, and any claims not subject to arbitration will be resolved in the courts identified below.

Governing law and venue

These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of Washington, United States, without regard to its conflict-of-laws rules. Subject to the Dispute Resolution section, you agree to the exclusive jurisdiction and venue of the state and federal courts located in Washington for any matter not subject to arbitration, and you waive any objection to such venue. The Service is operated from the United States and is intended primarily for users located in the United States. If you access it from elsewhere, you do so on your own initiative and are responsible for compliance with your local laws.

Changes

We may update these Terms from time to time. Any changes will be posted on this page with a revised "Last updated" date. Where required, we may also provide additional notice. Your continued use of the Service after changes are posted is your acceptance of the revised Terms, except where applicable law requires a different process for material changes.

Miscellaneous

These Terms, together with the policies incorporated by reference and any order form we expressly accept, are the entire agreement between you and us regarding the Service. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce any provision is not a waiver of it. You may not assign these Terms without our prior written consent. We may assign them. Section headings are for convenience only.
